These Terms of Service govern your access to and use of the Tripoint Network platform and managed-service facility maintenance coordination services. Please read them carefully before using our Services.

1. Introduction and Acceptance of Terms
Welcome to Tripoint Network. These Terms of Service ("Terms") govern your access to and use of the Tripoint Network platform, website, and related services (collectively, the "Services") provided by Tripoint Network LLC ("Tripoint," "we," "us," or "our"), a limited liability company registered in the State of Florida.
By accessing or using our Services, creating an account, or submitting any form on our website, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please do not use our Services.
2. Description of Services
Tripoint Network is a managed-service platform that coordinates facility maintenance and repair services for multi-location businesses. Our Services include the coordination of work orders, vendor dispatch, service scheduling, and related operational support across trades including HVAC, refrigeration, plumbing, electrical, handyman services, and other facility maintenance categories.
Tripoint acts as a coordination intermediary between clients (businesses requiring maintenance services) and vendors (licensed, insured service providers). Tripoint does not itself perform the physical maintenance or repair work. The scope, pricing, and specific deliverables of any engagement are governed by a separate Service Agreement executed between Tripoint and the client.
3. Eligibility and Account Registration
Eligibility
To use our Services, you must be at least 18 years of age and represent a legitimate business entity. Our Services are intended for business-to-business use and are not available to individual consumers acting in a personal capacity.
Account Registration
Certain features of our platform may require you to register for an account. When registering, you agree to provide accurate, current, and complete information about yourself and your business. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Accurate Information
You agree not to misrepresent your identity, business affiliation, or the nature of your operations. Tripoint reserves the right to suspend or terminate accounts where inaccurate or misleading information has been provided.
4. User Responsibilities
Client Responsibilities
Clients are responsible for providing accurate information about their facilities, service needs, and site access requirements. Clients must ensure that vendors dispatched by Tripoint have safe and lawful access to the relevant premises and that all necessary permits or approvals are in place prior to service.
Vendor Responsibilities
Vendors are responsible for maintaining all required licenses, certifications, and insurance coverage applicable to the services they perform. Vendors must perform work in a professional, workmanlike manner and in compliance with all applicable laws and regulations.
Prohibited Uses
You agree not to use our Services for any unlawful purpose; to submit false, misleading, or fraudulent information; to interfere with or disrupt the integrity or performance of the platform; to attempt to gain unauthorized access to any part of the Services; or to use the platform to solicit or engage vendors or clients outside of the Tripoint platform in a manner that circumvents our agreements.
5. Service Availability
Tripoint makes reasonable efforts to maintain the availability and performance of its platform. However, we do not guarantee uninterrupted, error-free, or continuous access to the Services. The platform may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our reasonable control.
Scheduled Maintenance
We will endeavor to provide advance notice of scheduled maintenance windows that may affect platform availability. Maintenance is typically performed during off-peak hours to minimize disruption.
Tripoint shall not be liable for any loss or damage arising from service interruptions, delays, or unavailability, whether scheduled or unscheduled.
6. Fees, Payment, and Billing
Service Agreement Governs
The fees, payment terms, and billing arrangements applicable to your use of Tripoint's Services are set forth in a separate Service Agreement between you and Tripoint Network LLC. These Terms do not independently establish pricing or payment obligations.
Non-Refundable Fees
Except as expressly stated in your Service Agreement or as required by applicable law, all fees paid to Tripoint are non-refundable. This includes fees for services that have been dispatched, coordinated, or partially performed.
Late Payments
Failure to remit payment in accordance with your Service Agreement may result in suspension of Services. Tripoint reserves the right to charge interest on overdue balances at the rate specified in your Service Agreement or, if not specified, at the maximum rate permitted by applicable law.
7. Intellectual Property
Tripoint's Platform
Tripoint Network LLC owns all right, title, and interest in and to the platform, including its software, design, content, trademarks, logos, and proprietary processes. Nothing in these Terms grants you any ownership interest in the platform or its underlying technology.
Your Data
You retain all rights to the data, content, and information you submit to the platform ("Your Data"). By submitting Your Data, you grant Tripoint a limited, non-exclusive license to use, store, and process Your Data solely as necessary to provide the Services to you. Tripoint will not sell or license Your Data to third parties without your consent, except as required by law or as described in our Privacy Policy.
8. Confidentiality
Each party may have access to confidential information of the other party in connection with the Services ("Confidential Information"). Each party agrees to hold the other's Confidential Information in strict confidence, to use it only for the purposes of performing obligations or exercising rights under these Terms or the applicable Service Agreement, and not to disclose it to any third party without the other party's prior written consent.
Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed by the receiving party without use of the Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt written notice to the disclosing party where legally permissible.
9. Disclaimers and Limitation of Liability
No Warranty
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TRIPOINT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRIPOINT DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIPOINT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO TRIPOINT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Exclusion of Consequential Damages
IN NO EVENT SHALL TRIPOINT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF TRIPOINT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless Tripoint Network LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you submit to the platform that infringes or misappropriates the rights of any third party.
11. Termination
Either party may terminate the use of Services in accordance with the terms of the applicable Service Agreement. Tripoint reserves the right to suspend or terminate your access to the platform immediately, with or without notice, if you breach these Terms, engage in fraudulent or illegal activity, or if continued access poses a risk to the platform or other users.
Upon termination, your right to access and use the Services will cease. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
12. Governing Law
These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Tripoint Network LLC is registered and operates in the State of Florida.
13. Dispute Resolution
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered in the State of Florida, in accordance with the rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
Informal Resolution First
Before initiating arbitration, you agree to first contact Tripoint at hello@tripointnetwork.com and provide a written description of the dispute. The parties will attempt to resolve the matter informally for a period of thirty (30) days before proceeding to arbitration.
Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Changes to Terms
Tripoint reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify registered users by email or through the platform. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you should discontinue use of the Services.
